I Am A Software Consultant With A Consultant Contract. If The Software Company Gets Bought, Can I Profit?

I spend all of my time on one software company client whom I have a consulting contract with. I spend 12 hours a day consulting for them for several years. I would like to structure a clause in my consulting contract that stipulates I receive some upside/profitability if the company is purchased outright. How do I do this?

  1. Judy says:

Anything legal can be put into a contract that both parties agree to, so it COULD be done. That would be very unusual for a consultant to get though, unless they were directly involved in negotiating the buyout..

  2. I would speak with a lawyer from the specific state where the company is located, because laws vary so widely. Also, are they looking for other consultants? I am a former software engineer looking for work!
